T-Mobile Will Complete $4.4 Billion Acquisition of UScellular This Week

In a landmark move for the U.S. telecommunications industry, T-Mobile US, Inc. has finalized its $4.4 billion acquisition of United States Cellular Corporation’s (UScellular) wireless operations, effective today, Friday, August 1, 2025. The transaction, which includes $2.4 billion in cash and the assumption of $2 billion in UScellular debt, marks a significant step in T-Mobile’s expansion strategy, particularly in bolstering its network coverage in rural America. As part of the deal, T-Mobile will welcome 4 million UScellular customers to its “Team Magenta” network, acquire UScellular’s retail stores, and take possession of 30% of its spectrum across multiple frequency bands, including 600 MHz, 700 MHz A Block, PCS, AWS, 2.5 GHz, and 24 GHz (mmWave).

The acquisition significantly enhances T-Mobile’s network capabilities, leveraging UScellular’s spectrum assets to improve connectivity, especially in underserved rural regions. The additional spectrum is expected to strengthen T-Mobile’s 5G network, offering faster speeds and greater capacity to millions of customers nationwide. This move solidifies T-Mobile’s position as a dominant player in the U.S. wireless market, further closing the gap with competitors like Verizon and AT&T.

Meanwhile, UScellular, previously the nation’s fifth-largest wireless carrier, is undergoing a transformative rebranding and restructuring. Upon the deal’s closure, the company has officially changed its name to Array Digital Infrastructure, Inc., signaling a new chapter focused on its remaining assets. Array will now concentrate on managing a portfolio of 4,400 owned towers and its retained wireless spectrum, which was not included in the T-Mobile transaction. The company will also continue to hold noncontrolling investment interests, positioning itself as a key player in telecommunications infrastructure.

Leading Array Digital Infrastructure into this new phase is Douglas W. Chambers, who has been appointed interim President and Chief Executive Officer. Chambers, a seasoned industry veteran, has served as UScellular’s Executive Vice President, Chief Financial Officer, and Treasurer for the past six years. His extensive experience within the TDS family of companies, which he joined in 2007, makes him a natural fit to guide Array through this transition. “I am honored to assume the role of interim CEO of Array at this pivotal time,” Chambers said in a statement. “We have a great opportunity ahead of us, and I look forward to working with the Board and our management team to strengthen our tower business and explore opportunities to monetize our retained spectrum.”

As part of the rebranding, Array Digital Infrastructure will adopt a new ticker symbol, “AD,” on the NYSE, replacing UScellular’s long-standing “USM” ticker, which has been in use since its 1988 IPO. The company will also launch a new website and logo, reinforcing its new identity. Array will remain headquartered in Chicago, Illinois, continuing its legacy as a key player in the telecommunications sector.

In a separate announcement, UScellular revealed that its board is expected to approve a special cash dividend of $22.50 to $23.75 per Common Share and Series A Common Share following the transaction’s closure. This move is likely to provide a significant return to shareholders as the company transitions to its new focus under the Array banner.

The completion of this transaction marks a pivotal moment for both T-Mobile and Array Digital Infrastructure. For T-Mobile, it’s a strategic leap toward expanding its reach and enhancing its network, particularly in rural markets. For Array, it’s the beginning of a new journey as a streamlined infrastructure company poised to capitalize on the growing demand for tower assets and spectrum in the 5G era. As the telecommunications landscape continues to evolve, all eyes will be on how Array Digital Infrastructure leverages its assets and how T-Mobile integrates its newly acquired customers and spectrum to maintain its competitive edge.
